Definition
Ethical management refers to recognizing economic and legal responsibilities with regards to the conduct of management, fulfilling socially expected ethical responsibilities widely expected as basic duties, making them a core component of corporate decision-making principles and behavior, and working towards fulfilling them.

01 Economic Responsibility
The company is responsible for producing socially needed products and services, selling them at a reasonable price, continuously carrying out business as a result, and making profits enough to compensate shareholders.

02 Legal Responsibility
Business operations must be done according to fair rules. In other words, each company is responsible for conducting management within the framework of the social covenant that society had made through legislation.

03 Ethical Responsibility
The company is responsible for behaving in such a way as to meet the expectations, standards and values of stakeholders such as customers, employees, shareholders and society.

04 Eleemosynary Responsibility
This refers to the company’s voluntary fulfillment of responsibilities, that is, fulfilling the responsibilities as a member of society by engaging in cultural activities, donations, and volunteer services.

Background
Companies of the past used to fulfill their responsibility to society in the form of donations, charities, and compliance with laws and regulations on a more or less involuntary basis or with the ulterior motive of enhancing their image, but more recently the awareness that corporate growth and continuity through ethically transparent management is the most fundamental social responsibility has been firmly established. Ethical management is an evolution of modern management that strives to improve the future value of the business and preemptively manage likely risks, not simply by making unilateral contributions to society or stakeholders but by serving as a cooperative participant.

As cases of corporate accounting frauds, unethical management and environmental pollution have been rising recently, global interest in social responsibility of businesses has greatly increased, thus the need to pursue ethical management in compliance with social requirements has gained wide spread attention. Accordingly, various international norms and socially responsible investments are increasing to a great extent, and more recently the UN and ISO (International Standard Organization) have been establishing standardized international norms.

Code of Ethics
SK Marketing & Company has established the following Code of Ethics.

Preface to the Code of Ethics
SK Marketing & Company (referred to as the `Company` hereinafter) endeavors to become a SUPEX Company that plays a critical role in social and economic development and contribute to the happiness of society by making SKMS the basis of corporate management, and by creating diverse values for employees, customers, shareholders and business partners.

The company shall pursue happiness in such a way that it will be sustainable over a long period of time and so that the mutual relationship between the company and stakeholders and their roles are well balanced.

The company will also respect the natural economic order of a free market and compete fairly in accordance with ethical trade practices. The company shall seek to gain competitive edges in a fair and just manner, namely by improving the quality of its products and services.

Accordingly, the company will establish and comply with the Code of Ethics, the standard for employees’ behavior and judgment by pursuing SUPEX based on pursuit of its management philosophy and people-centered management (which is the core management principle).
- The company must win the trust of its customers by continuously satisfying their needs and ultimately grow and develop with them.
- The company must promote an environment in which employees are self-motivated to work energetically and contribute to the development of the company and to the creation of stakeholder value.
- The company must enhance the value of the company to ensure that shareholder value can be created, and thus enhance transparency and manage the company efficiently.
- The company must provide its’ Business Partners (referred to as `BP` hereinafter) with opportunities for fair trade, and pursue win-win management based on mutual trust.
- The company must contribute to society as well as to economic development through social and cultural activities while doing its best to manage the company in compliance with social norms and ethical standards.

Text of the Code of Ethics
1. Attitudes of employees
1.1 Sincere execution of duties
1) Employees must be clearly aware of their rights and responsibilities, and perform their duties in good faith.
2) In principle, employees should not hold more than two offices or jobs, or moonlight, which may adversely affect their performance. However, in consideration of the relationship to their jobs, an exception may be made with the prior consent of the company.
1.2 Maintaining dignity and promoting a sound corporate culture
1) Employees must keep in mind that their words and deeds are directly connected to the trustworthiness and reputation of the company, and make efforts to fulfill their responsibilities and duties as members of society.
2) Employees should not engage in any behavior that hinders the formation of sound relationships, such as sexual harassment, or pressure any other employee to do anything that will cause undue burden or stress upon them. Employees must perceive each other as partners and regard each other with mutual respect, –this is key to promoting a sound organizational culture.
1.3 Fair execution of jobs
1) Employees should not mix business with pleasure, and must perform their duties in a fair and transparent manner. Accordingly, they should not offer money or entertainment to stakeholders for the purpose of gaining illegal, unjust or unfair profits/advantage.
2) Employees should not receive money, entertainment or personal favors from any stakeholders such as BPs. If it is inevitable to receive any money from them, they must handle it in accordance with the `standard for handling received gifts,’ and report the matter to the department in charge of ethical management or the ethics counseling center. However, an exception will be made in the following cases:
+ PR and event souvenirs;
- Articles with the logo or name of the company or a BP, whose prices are socially acceptable.
+ Expenditures for congratulations and condolences;
- Money received for mutual aid whose amount is socially acceptable.
3) In principle, employees must report to their superiors when they contact BPs in connection with their jobs.
1.4 Resolution of conflicts of interest
1) Employees should not act in any way that poses a conflict of interest with the company, or create a conflict of interest with the company, and if they inadvertently violate this dictum, they must report to the department in charge of ethical management or the ethics counseling center.
2) Acts that may create a conflict of interest are as in the following paragraphs, however, as it is not a complete list of all conflicts of interest, employees must exercise stricter judgment and be more discrete in an actual situation.
+ The following are examples of conflicts of interest in which employees must exercise their own high standard of discretion;
- Employees trading with a BP or competitor directly or through a third party;
- Employees holding a position in a company that has a conflict of interest with the company without the approval of the latter;
- Employees borrowing money from or lending money to a BP, making investments jointly with a BP, guaranteeing a loan of a BP, or leasing real estate or movable properties to and from a BP directly or through a third party;
- Employees receiving compensation from a BP directly or through a third party.
- Employees owning securities or bonds of a BP directly or through a third party without the approval of the company.
+ The following are examples of employees’ using privileged business information they acquired as a course of their business duties to gain illegal profits, thereby creating a conflict of interest;
- Employees purchasing any property or security of which the company is also trying to purchase or lease directly or through a third party; and,
- Employees getting a BP to guarantee the employment or job recommendation of themselves or a third party when they have an opportunity to use privileged information of the company to provide personal advice.
+ Employees must report to the ethics counseling center when their family or relatives trade with the company or a BP.
1.5 Protection and proper use of company assets and information
1) Employees should not use the assets of the company for personal gain, or transfer or lease them to a third party without approval.
2) Employees should not use the budgets of the company for personal purposes, and must use them efficiently and in compliance with the purpose stated by the company.
4) Employees should not excessively use company PCs, internet connections, email, phones and faxes for personal purposes.
5) Employees must actively protect company intellectual property rights, such as the company’s patents, rights of trade, trademarks, copyrights, or any other information of value.
6) Employees must strictly manage the information assets of the company, including business information and technical information, in accordance with the security management standards of the company. The disclosure and scope of information will be determined in accordance with related laws and regulations, company rules and policies, and apply them in the same manner to interviews with the media.

2. Responsibility to customers
2.1 Customer-centered management
1) The company will make continued efforts to provide the products and services customers need.
2) The company will do its best to correctly identify customer requirements, respect the just requirements and reasonable suggestions of customers, and actively reflect them into the management activities of the company.
2.2 Protecting customer information
1) The company will comply with the laws and regulations related to the protection of customer information, and continuously check and improve the processes for protection of customer information, and do its best to protect customer information by building and operating the best IT security system and installing customer information managers. The company should not use customer information for any purpose other than that for which it was provided, or offer it to a third party unless the customer agrees or it is legally permitted.
2.3 Enhancing customer value
1) In providing customers with products and services, the company will do its best to enhance customer value, e.g. promoting an environment in which the level of quality the customer expects is maintained, and in which the products and services can be used safely and beneficially.
3. Responsibility to employees
3.1 People-centered management
1) The company will respect the personality and character of each employee as a valued individual, and treat each employee fairly and reasonably according to their competencies and performances.
2) The company must promote an environment for SUPEX so that employees can voluntarily and energetically maximize the use of their intellectual potential.
3) The company will support the self-development activities of employees, and provide them with learning opportunities so that they may develop the skills necessary to better perform their jobs.
3.2 Safety and happiness of employees
1) The company will comply with relevant international standards, related laws and regulations, and internal regulations, e.g. improving systems for the sake of employees’ health and safety and providing regular training.
2) The company will do its best to ensure that employees can display their spirit to take on challenges and be creative so they may pursue happiness with their coworkers on the basis of mutual trust and self-respect.

4. Responsibility to shareholders
4.1 Enhancing corporate values
1) The company will maximize corporate values by efficiently managing the business through continuous innovation, and share the results with shareholders.
4.2 Protecting the rights and interests of shareholders
1) The company will practice transparent management with a focus on the Board of Directors, and respect the just demands and suggestions of shareholders.
2) The company must correctly record and maintain accounting information in accordance with generally accepted accounting principles, related laws and regulations, and internal rules.
3) All management information of the company must support the decision-making of the top management by reflecting facts or transactions correctly.

5. Relationship with Business Partners
5.1 Fair trade and win-win management
1) The company will provide suppliers with a fair opportunity for transactions, and always act in a manner that pursues mutual benefit and prosperity; the company will not use its superior position to act unfairly or gain unjust or detrimental advantage.
2) Employees must handle matters that are likely to be interpreted as violating fair trade laws after prior consultation with the department in charge of fair trade or judicial affairs, and should not make arbitrary decisions.

6. Responsibility to society
6.1 Promotion of a sound culture
1) The company will continuously pursue technology innovation and improve its business to help create a convenient and prosperous world, and thus improve the quality of life of people and contribute to their overall happiness.
2) The company will comply with all local laws, regulations and social norms of any place where it conducts business, and respect the traditions and culture of the local communities.
6.2 Respecting the dignity of people
1) The company will not unreasonably discriminate against any stakeholders such as customers and employees in any place where it conducts business on account of ethnicity, religion, gender, or disability.
2) The company will always act to protect minors, protect the privacy of customers and protect basic human rights anywhere that it conducts business.
6.3 Environment-friendly management
1) The company will comply with international standards related to environmental protection, related laws and regulations, and internal regulations, and practice environment-friendly management.
6.4 Social contribution activities
1) The company will actively participate in social contribution activities, and always endeavor to make the entire society happy.
6.5 Maintaining political neutrality
1) The company will respect the political rights and political opinions of each individual, and will not use any company funds, manpower and/or facilities for political purposes.
2) The company will try and avoid any inappropriate trade with any government, and comply with all the laws and regulations of all nations.

7. Application of the Code of Ethics
7.1 Scope of application and obligation to comply
1) This Code of Ethics will apply to the company and all employees of the company; all employees are obligated to comply with and pledge themselves to this Code of Ethics.
2) Violations of this Code of Ethics will be handled according to company rules.
7.2 Reporting of violations and protection of informants
1) Employees aware of any violation of this Code of Ethics must report or give information to the leader of the organization or the department in charge of ethical management to help expedite the resolution, thereby actively protecting the company and employees from such a violation.
2) Employees will not be subjected to any disadvantage in relation to the act of giving information.
3) Details regarding counseling, handling of information provided by informants, and protection of informants will comply with the ‘procedure for ethics counseling and handling information provided by informants.’
7.3 Guidelines on the Code of Ethics and working rules on ethical behavior
1) The executive in charge of ethical management may establish and enforce ‘guidelines on the Code of Ethics’ if it seems necessary in relation to the enforcement of this Code of Ethics.
2) The executive in charge of ethical management may recommend establishment and enforcement of the ‘working rules on ethical behavior’ in consideration of job characteristics after consultation with the head of relevant divisions.

Establishment of the Code of Ethics
To build an infrastructure for ethical management and enhance its effectiveness, SK Marketing & Company requested SKMS to establish the Code of Ethics. SK Marketing & Company’s Code of Ethics covers employees’ attitudes, their responsibilities to customers/employees/shareholders/society and their relationship with BPs. It provides standards concerning employees’ behavior and judgment so that they will be able to make correct and ethical decisions in the various situations they may face when conducting business.

How to use
01 Introduction
At the ethics counseling/reporting center employees can get counseling on ethical management, interpretation of the Code of Ethics, and advice on how to resolve ethical conflicts encountered with regards to executing their job, unfairness issues, improper requests, receipt of illicit money and entertainment, complaints related to accounting discrepancies (accounting fraud, internal controls and auditing issues), other unfair practices and corruption, and advice on ways to report them. Counseling will be given and handled with the strictest confidentiality, that is, the identities of those receiving counseling and the details involved will be kept strictly confidential so that such information will not be disclosed against their will. Counseling will be handled as quickly as possible, and results will be sent in the manner requested.

SK Marketing & Company is engaged in diverse mobile donation activities with gifticon, a new mobile gift certificate. Digitally delivering analog emotion, gifticon is leading the new mobile donation culture.

- Haiti emergency relief gifticon
: From February 2, 2010 to April 30, 2010 we partnered with World Vision, an international relief and development agency, to sell gifticons to raise money for earthquake stricken Haiti. A donor can select any of the 6 gifticons representing a specific item such as bedding, hygiene kits, cooking kits and water purification tablets, and conveniently pay for them via gifticon. The selected items are then sent to Haiti through World Vision and the donor receives via the mobile phone the ‘gifticon-happiness certificate’ which contains images of World Vision activities. This program will make the donation more meaningful.

Muhan Dojeon (Limitless Challenge) 2010 calendar gifticon
In December 2009, the year 2010 calendar, made by ‘Muhan Dojeon’ (Limitless Challenge), MBC’s popular entertainment program, was released as mobile wallpaper. The mobile calendar wallpaper depicts the colorful expressions and stories of the Muhan Dojeon characters, while the total proceeds will be used to help the underprivileged.

Gifticon donations to be used to construct the SK Happy Handball Festival Stadium
In November 2009, a gifticon donation was released to raise funds for a handball stadium. Donors can freely choose an amount between KRW500 and KRW50,000. Their donations will be accumulated and used for the construction of the handball stadium to be completed in 2011. The names of the donors will be etched in the cornerstone of the state-of-the-art ‘dream’ stadium that will be used by everyone from young amateur players to members of the national handball team.

OK Cashbag Happy Week
OK CASHBAG HAPPY WEEK is a representative event of OK Cashbag, which had been offered for 2 years from June 2007 to June 2009. This program gave customers an opportunity to use between 100 and 5,000 OK Cashbag points to buy OK Cashbag partners’ products worth KRW5,000~30,000, or enjoy performances like movies and musicals. The points used would accumulate and at the end of the year were donated to charity organizations.

Happy Week 2008
Happy Party of Love! (December 2008) SK marketing & company invited over 100 OK Cashbag member couples and held a year-end charity party on December 22 at the Ye Hall in Apgujeong-dong. The charity event featured a bazaar where participants could buy OK Cashbag partner products and items donated by the employees of SK marketing & company with OK Cashbag points. There was also a magic show and B-Boy and belly dance performances. The points collected at the bazaar, as well as admission fees, were used as social contribution funds. Happiness Sharing Ceremony with OK Cashbag Happy Week (December 2008) On December 26, SK marketing & company delivered 63,233,700 points, all raised during ‘Happy Week’ of this year, to the Korean Organization for Rare Diseases. The donation was used to pay the surgery expenses, hospital bills and rehabilitation costs of a total of 10 patients as well as to purchase medical supplies for their outpatient care.

Sharing Briquettes of Love Campaign
The Sharing Briquettes of Love Campaign is a joint event between SK Energy and the Organization for Sharing Warm Briquettes of Love. As an affiliate of SK, SK marketing & company takes part in delivering coal briquettes to help ensure that low income families entirely dependent on briquettes for heating can stay warm throughout the cold winters.

On December 17 SK Marketing & Company volunteered their service to deliver briquettes of love in Yangjae-dong, Seocho-gu. Although it was the coldest day of 2009, more than 40 volunteers delivered 3,600 briquettes to 9 households sharing their love with neighbors.

Sharing briquettes in 2008 (December 2008) On December 17, SK marketing & company engaged in the Sharing Briquettes of Love activity in Geoyeo-2-dong, Songpa-gu. Over 50 employees, including CEO Lee Bang-Hyeong, delivered more than 3,000 briquettes to 15 families. They enthusiastically did what little they could to help vulnerable neighbors stay warm during winter.

Happy-sharing Bazaar
SK Happy-sharing bazaar is the charity event of SK Group. It has been held every winter since 2003 under the theme of the happy-sharing season. The proceeds are donated to Korea Food for the Hungry International, an international relief agency. SK Marketing & Company, an affiliate of SK, participates in the happy-sharing bazaar.

SK Happy-sharing Bazaar 2010
On January 27, 2010, SK Group held another ‘SK Happy-sharing Bazaar’ at the indoor square of Yongsan Station in Seoul in partnership with Korea Food for the Hungry International. Both SK employees and volunteers sold a variety of personal goods such as clothing, cosmetics and books that were donated by SK affiliates, items donated by SK employees, and the collections of participating celebrities. The total value was estimated to be about KRW200 million.In addition to the donations of its employees, SK Marketing & Company sold ‘Bosomi Chamomile Wet Tissue’ and ‘Say Wild Flower Body Lotion in Love with the Skin,’ which are OK CASHBAG coupon products. All of the proceeds from the bazaar were donated to Korea Food for the Hungry International, which in turn used the money to pay for the heating costs of needy families.

SK Marketing & Company joined hands with the affiliates of SK Group to participate in happy-sharing in everyday life through small-sum donations. Small as they are, the big-hearted sharing will go a long way toward making for a warm society.

Happy-sharing piggy bank 2009
Starting on December 21, 2009 about 26,000 SK employees collected coins in “happy-sharing piggy banks” for 3 months. A total of KRW210 million was collected and promptly donated to the Happy Nanum (Happiness Sharing) Foundation. The money was used to provide lunches for underprivileged children. All employees of SK Marketing & Company took part in the small-sum donation drive based on the happy-sharing piggy banks which helped feed about 1,300 underprivileged children.

- Data Transfer: SK Marketing & Company may share personal data with trusted partners to help us enhance efficiency of our work. In this case, we will notify you of the relevant details, including the name of the trusted partner, the range of personal data provided, and the purpose, process and time period of this data transfer.

- Sale/M&A: When the rights and duties of the service provider are transferred to another provider, the reason and the procedure of such transfer will be notified to you in detail. In this case, you are granted the right to withdraw permission regarding the use of your personal information.
Notification is given on the first screen of the SK Marketing & Company website at least 30 days in advance, while personal notification through email also needs to be done more than once.
